These Terms and Conditions define the relationship between Qisma Financial Solutions LLC, registered as "شركة قسمة الحلول المالية" with Commercial Registration Number 4030580662 ("Qisma," "the Company," "we," or "us"), and the person ("User" or "you") accessing the Qisma application downloadable to your mobile device (the "App"). Use the App only if you are 18 years or older, capable of forming a binding contract, and not barred from accessing the App under Saudi Arabian law. If accepting these Terms on behalf of an entity, you represent that you are authorized to do so. Use the App in compliance with these Terms and all applicable laws and regulations.
By clicking on the accept button or similar links designated by Qisma, you enter a legally binding contract. Use of the App and Qisma’s services is conditional on accepting these Terms, conditions, and any other rules or policies set by Qisma.
Certain services may have additional terms and conditions (“Additional Terms”). If applicable, these will be made available to you and become part of your agreement with us. In case of conflicts, Additional Terms will prevail.
These Terms and Conditions constitute a legally binding agreement between Qisma and you. Regularly review these Terms and Conditions, accessible via the App. By continuing to use the App, you acknowledge and accept these Terms and Conditions, which, along with Qisma’s Privacy Policy, represent the complete agreement regarding App use.
The App may provide Qisma and third-party providers access to users' personal information. Information provided through the App is subject to our Privacy Policy. By accepting these Terms, you acknowledge and accept the Privacy Policy.
Qisma may collect technical data about your device, system, application software, and peripherals, used to facilitate software updates, product support, and other services related to the App.
Maintain the confidentiality of your App login credentials. Notify us immediately at support@qisma.sa if unauthorized use is suspected. Qisma is not responsible for losses from failure to report unauthorized use. You agree to indemnify Qisma for any improper, unauthorized, or illegal uses of your credentials.
As Qisma is app-based, you consent to conduct business and receive disclosures electronically through the App or email. Accepting these Terms means agreeing to electronic receipt of all documents, communications, notices, contracts, agreements, and any forms related to the App use and services. Disagreeing means not accepting these Terms.
Electronic signatures are as legally binding as handwritten signatures under Saudi law. Communications regarding agreements will be via email. Non-receipt of emails due to technical issues or changes on the recipient's end is the recipient's responsibility.
Your consent to receive electronic Disclosures and transact electronically applies to all transactions with Qisma or its Affiliates. This consent remains in effect during your use of the App and beyond until all Disclosures related to your transactions are complete.
To receive and keep electronic Disclosures, you need Internet access, an email account, compatible web browsers (latest versions of Chrome, Edge, Firefox, Safari), hardware for these browsers, and PDF viewing software like Adobe Acrobat Reader. Mobile devices must have apps to download and retain documents. If your device lacks these capabilities, use a compatible one. Accepting these Terms signifies your agreement to this notice.
Your wireless/mobile provider may charge for App use, including text message and data transmission fees.
You cannot withdraw your consent as long as you have any outstanding investments made through the App. Withdrawal of consent to conduct business electronically will result in the termination of your registered user account.
Contact us at support@qisma.sa for electronic Disclosures issues. Keep us informed of any changes in your email or mailing address to continue receiving timely Disclosures.
Nothing in these Terms waives rights under Saudi securities laws and regulations. Securities offered on the App comply with local regulations. The securities are illiquid, not publicly traded, and have not been endorsed by regulatory authorities.
Only Saudi residents or residents of jurisdictions where it is legal to invest may access investment opportunities on the App. Investment overviews on the App are for informational purposes and should be supplemented with professional advice.
To prove Accredited Investor status and Issuer Covered Person status, you may need to provide documents, complete a subscription agreement, and undergo background checks. Failure to provide these can result in blocked access to the App.
Review the offering circular before investing in securities on the App. Obtain the latest version via support@qisma.sa.
The App provides access to Qisma’s services and third-party services and websites. The App is licensed, not sold, to you for personal, non-transferable, non-exclusive, non-sublicensable use on devices you own or control. This license does not permit use on devices not owned or controlled by you, nor does it allow distribution or making the App available over a network for use by multiple devices simultaneously.
All content on the App, including text, videos, graphics, interfaces, photographs, trademarks, logos, artwork, and computer code, is owned or licensed by Qisma. This content is protected by intellectual property laws and Saudi regulations.
You may not copy, reproduce, modify, or distribute the App or its content. Do not use the App for illegal, unlawful, or malicious activities. Prohibited activities include impersonation, harassment, transmitting destructive software, and using automated devices to interact with the App.
You warrant that all information provided to Qisma is accurate, that your use of the App complies with laws and contracts, and that you are at least 18 years old. Qisma reserves the right to cancel or suspend transactions for any breach of these representations or warranties.
The App and services are provided "as is" without any warranties, express or implied. Qisma disclaims all warranties, including merchantability, fitness for a particular purpose, and non-infringement.
Qisma is not liable for any personal injury or incidental, special, indirect, punitive, or consequential damages arising from or related to the use of the App. The total liability of Qisma to you for all damages will not exceed fifty Saudi Riyals (SAR). Some jurisdictions do not allow certain limitations of liability.
You agree to indemnify and hold Qisma harmless from any claims arising out of your breach of these Terms, fraudulent or malicious use of the App, or violation of laws. This includes indemnification from claims made by third parties due to your breach of these Terms.
Qisma may amend these Terms at any time by posting revised terms on the App. Continued use of the App after such posting signifies your acceptance of the revised Terms. Amendments are binding unless in writing and signed by Qisma’s authorized representative or posted on the App.
Qisma reserves the right to change, suspend, or disable access to the App and/or services at any time without notice. Termination of these Terms will result in the cessation of all use of the App and destruction of all copies of the App.
The laws of the Kingdom of Saudi Arabia govern these Terms and Conditions and your use of the App. Any disputes arising from or related to these Terms will be subject to the exclusive jurisdiction of the courts of Saudi Arabia.
